You also agree to be careful with the Sponsor Patron List Database Information appearing in The Legacy Foundation Online Database Manager and to only disclose it to your employees with a "need to know" who are instructed and agree not to disclose the information and not to use the information for any purpose other than that for which is intended by The Legacy Foundation and this Agreement. You agree to notify The Legacy Foundation, in writing, if any Confidential Information has been used in any way which may violate this Agreement. You may not share, assign or transfer your access to The Legacy Foundation Online under this Agreement. 2. Restriction on Use of Confidential Information You shall not share, distribute, sell, publish or in any other manner disclose any Confidential Information to any third party unless authorized in writing by The Legacy Foundation that is inconsistent with the mission and purpose of The Legacy Foundation. 3. Password and User ID You are responsible for ensuring that password and User Identification ("User ID"), assigned to or chosen by you, to access The Legacy Foundation Online are at all times maintained in a confidential manner and are used solely by you. You will not disclose or make available any such password or User ID to any other person or entity. You will immediately notify The Legacy Foundation, in writing, of any unauthorized or improper use of any password or User ID. 4. Parties As used in this Agreement, "you" refers to you as a specific individual who has authority to enter into this Agreement on behalf of him/herself and who agrees to abide by the terms and conditions of this Agreement. Disclaimer of Warranties THE LEGACY FOUNDATION HAS PROVIDED THIS WEB SITE SOLEY AS A SERVICE TO YOU, AND MAKES NO GUARANTEE OF ITS USE. THE LEGACY FOUNDATION ONLINE, AND ALL INFORMATION PROVIDED VIA THIS SITE IS PROVIDED "AS IS". Indemnification You agree to defend and indemnify The Legacy Foundation and our affiliated companies, employees, contractors, and agents from any and all losses, damages, liabilities, costs and reasonable expenses (including but not limited to attorney’s fees), in connection with or arising out of The Legacy Foundation Online and your violation of applicable law, this Agreement, and any use or involvement of The Legacy Foundation Online that is not specifically authorized under this Agreement. 8. Termination Your rights under this Agreement will automatically terminate should you fail to comply with any term(s) of this Agreement. In the event of termination you shall immediately discontinue all access to The Legacy Foundation Online. You shall not keep any copy of Confidential Information. If this Agreement is terminated, you will continue to be bound by Paragraphs 1,2,3,4,5,6, and 7. 9. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee. If any provision of this Agreement is determined by a court of competent jurisdiction to be invalid, all other terms and conditions shall remain in full force and effect. 10. Amendment. The Legacy Foundation may amend this Agreement at any time by posting the amended terms on the Site. The amended terms will take effect and become part of this Agreement immediately upon posting.
